Bylaws of the Missouri Higher Education Web Professionals

ARTICLE 1: Name

Section 1.01. Name. The official name of this organization is Missouri Association of Higher Education Web Professionals (hereinafter referred to as "Missouri HighEdWeb").

Section 1.02. Purpose. The purpose of this organization is to assist people in higher education in the state of Missouri who are responsible for designing, implementing and maintaining a website for an institution of higher education. The organization will assist members via the listserv and a web track at the annual HELIX Conference.

ARTICLE 2: Membership

Section 2.01. Membership. Membership is free of dues and is open to any individual interested in web development. Members must work at an institution of higher education that is located within the state of Missouri.

Section 2.02. Dismissal of Members. The officers of this organization may dismiss a member from membership upon the grounds that the member is interfering with any act or activity authorized by Missouri HighEdWeb, where such act or activity is or is intended to be in furtherance of any of the organization's purposes or primary goals as described in Section 1.02.

Section 2.03. Resignation of Members. A member may resign from membership at any time.

Section 2.04. Voting.

  1. Each member shall have one vote.
  2. A member may vote in person or may vote by proxy executed in writing by the member to an officer.
  3. Members who are also officers shall not have the right to vote in matters concerning the functions of their position.
  4. Changes to these Bylaws may be voted on by members only.

Section 2.05. Meetings of Members. Annual meetings will be held at the spring HELIX conference. Special meetings of the officers may be called at any time.

ARTICLE 3: Officers

Section 3.01. Officers. There shall be a Chair, Chair-Elect, Past-Chair and Secretary.

Section 3.02. Election of Officers. Officers will be elected annually at the HELIX Conference. Term of office shall be for one year. Officers are eligible for re-election.

Section 3.03. Vacancies. A vacancy in any office occurring as a result of any newly-created office or the death, resignation, removal, incapacity or disqualification of an officer may be filled from the membership by action of the chair. An officer elected to fill a vacancy shall be elected for the unexpired term of his or her predecessor in office and until his or her successor is elected and qualified.

Section 3.04. Resignation of Officers. An officer may resign at any time by delivering written notice to the chair. Such resignation shall take affect upon receipt of the notice unless otherwise stated.

Section 3.05. Duties of Officers. All officers shall have such authority and perform such duties in the management of the organization as may be provided in these Bylaws:

  1. Chair. The chair shall serve as the chief executive officer of the organization. The chair shall preside at all meetings of the officers and all meetings of the membership and shall have the right to vote at such meetings. In the case of a tie the chair shall have the power to cast two votes to break the tie.

    The chair may establish committees and shall appoint chairmen of such committees. The chair shall coordinate the activities of the officers and the committees and perform all duties customary to that office and shall manage the affairs of the organization in accordance with the policies and directives explained in the bylaws.

    The chair will also be responsible for maintaining the organization's website and administering the organization's listserv.

  2. Chair-Elect. In the absence of the chair or in the event of his/her inability or refusal to act, the chair-elect shall perform the duties of the chair, and when so acting, shall have all the powers of and be subject to all the restrictions upon the chair.

    The chair-elect shall be responsible for coordinating the web track at the annual Helix conference. The chair-elect shall perform such other duties and have such powers as the chair may from time to time provide.

  3. Secretary. The secretary shall be responsible for preparing and maintaining custody of the minutes of all meetings of the Missouri HighEdWeb, for authenticating records of the organization, for keeping a register of the membership, and for giving notices in accordance with these bylaws or as required by law. In general, the secretary shall perform all duties customary to the office of secretary or as may be determined from time to time by the chair.

  4. Past-Chair. The past-chair will serve as an advisor to Missouri HighEdWeb.

ARTICLE 4: Committees

Section 4.01. Officers of the organization may appoint one or more committees, each of which shall consist of two or more members. Standing committees include the following:

  • Executive Committee

    • Purpose
      Advises the chair of Missouri HighEdWeb in preparing the agenda for meetings and assists in supervision of the working of Missouri HighEdWeb in such manner as directed by Missouri HighEdWeb or the chair of Missouri HighEdWeb.

    • Membership
      Includes all officers, with the Missouri HighEdWeb chair serving as chair.

  • HELIX Conference Committee

    • Purpose
      Plans and markets the HELIX conference to Missouri web developers.

    • Membership
      Includes any volunteering members, with the Missouri HighEdWeb chair-elect serving as chair.

ARTICLE 5: Miscellaneous

Section 5.01. Amendments. These bylaws may be amended only by a two-thirds majority vote of the members casting votes at an annual or special meeting at which a quorum is present provided that notice of the purport of any proposed amendment has been stated in the call for the meeting.

Section 5.02 Listserv. The listserv is open to anyone interested in web development issues. They do not have to be a member to be on the listserv. Any topic relating to web development in higher education is allowed, including technical questions, administrative policies, site design questions, etc.
